It is IRGC’s highest decision-making organ. Board members, all of whom hold office on an individual basis, are drawn from governments, industry, science and non-governmental organisations.
The Foundation Board is responsible for IRGC’s strategy, approves the annual budget, business plan, annual report and annual accounts, appoints members of the Scientific and Technical Council and Advisory Committee, the Secretary General and the external auditors, and is responsible for fundraising.

Under the terms of the Memorandum of Understanding between IRGC and the OECD, the OECD has observer status at meetings of the IRGC Board. The current nominated observer is Michael Oborne.
